Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Simplidex LLC (“Simplidex,” “we,” “us”) governing your use of the Simplidex app and related services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Eligibility
You must be at least 13 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements.
Your Account
You are responsible for the activity under your account and for keeping your credentials secure. Provide accurate information and keep it current. Notify us promptly at support@simplidex.com of any unauthorized use.
Contacts and Information You Provide
You may add your own contact information and import contacts from your device. You represent and warrant that you have the necessary rights and lawful basis to provide any contact information you upload, including information about other people, and that doing so does not violate any law or any other person’s rights. You are responsible for the accuracy of information you share and for the privacy settings you apply to it.
Acceptable Use
You agree not to:
- Use the Service to harass, abuse, impersonate, or harm others.
- Upload unlawful content or contact information you have no right to share.
- Send spam or unsolicited messages, or scrape or harvest user data.
- Attempt to access accounts or data that are not yours, or interfere with or disrupt the Service’s security or operation.
- Use the Service in violation of any applicable law.
We may suspend or terminate accounts that violate these Terms.
Your Content
You retain ownership of the information you provide. You grant us a limited license to host, process, and display that information solely to operate and provide the Service to you and the connections you authorize, consistent with our Privacy Policy.
Intellectual Property
The Service, including its software, design, and branding, is owned by Simplidex and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes. You may not copy, modify, reverse engineer, or create derivative works except as permitted by law.
Third-Party Services and App Stores
The Service relies on third-party providers and is distributed through the Apple App Store and Google Play, whose terms also apply to your use. We are not responsible for third-party services.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLIDEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, USE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF USD $0 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Sections that by their nature should survive termination will survive.
Changes to the Service or Terms
We may modify the Service or these Terms. For material changes to the Terms, we will provide notice. Continued use after changes take effect constitutes acceptance.
Governing Law
These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration conducted in Utah, United States.
